Many Zimbabwean businesses start life trading under a registered business name. It is quick and simple – but as the business grows, the limitations start to show. The good news: you can upgrade to a private limited company.
Why make the move?
- Limited liability. A company is a separate legal person, so owners’ personal assets are generally protected from business debts.
- Credibility. Larger clients, banks and procurement processes often expect to deal with a registered company.
- Room to grow. Shares make it straightforward to bring in partners or investors.
- Continuity. The company continues even if ownership changes.
What the process involves
In broad terms, upgrading means registering a new private limited company, then moving the business into it: updating tax registrations with ZIMRA, NSSA registration if you employ staff, bank accounts, contracts and supplier registrations such as PRAZ. Getting the sequence right avoids gaps in your tax clearance and supplier listings.
